Denise Brown joined the Colorado Biotechnology Association (CBA) in August 2002. Kennewick General Hospital Signs Medical Device Reprocessing Agreement with ReNu Medical

Lauderdale, Florida has granted a motion filed by Alliance Investment Management Ltd. to assert a fraudulent misrepresentation claim against Akers Biosciences, Inc. for making misrepresentations about the negotiability of 2.8 million shares of its common stock and for wrongfully canceling those shares after Alliance traded those shares on the London Stock Exchange. Alliance is an investment brokerage firm and a Class 1 broker/dealer based in Nassau, Bahamas. Alliance provides a variety of financial products and services, including equities, fixed-income securities, options, mutual funds, futures trading, investment capital and estate planning. New Jersey-based Akers Biosciences manufactures and distributes rapid diagnostic testing products throughout the United States and Europe, and its shares of common stock are traded on the Alternative Investment Market of the London Stock Exchange.

Alliance received instructions from one its clients to sell 2.8 million shares of Akers’ stock that Alliance’s client received from Akers. As part of its due diligence to ensure the negotiability and tradability of Akers’ stock, Alliance obtained oral and written assurances from Paul Freedman, Akers’ Chief Financial Officer, and from Raymond F. Akers, Jr., Akers’ President and Chief Executive Officer, that the 2.8 million shares of Akers stock bore no restrictions and were negotiable and freely tradable. After openly trading the bulk of the stock on the London Stock Exchange, Alliance was dismayed to discover that the Akers shares were restricted and constituted collateral for a loan that Akers obtained to fund its operations. Akers’ executives also made similar misrepresentations regarding the negotiability of its stock to RBC Dominion Securities (Global) Limited, a securities brokerage firm that sold 230,000 shares of Akers stock.

Once Akers obtained the final installment of its loan proceeds, Akers cancelled 2,765,000 shares of its stock that Alliance and RBC sold in the market, leaving bona fide purchasers of that stock with worthless securities and traders of that stock exposed to adverse claims. Prior to its wrongful stock cancellation, Akers was aware of the sales of its stock but remained silent and continued to represent to Alliance and RBC that the 2.8 million shares were freely tradable. RBC sustained damages in excess of $270,000.00 as a result of Akers’ wrongful stock cancellation. In its federal lawsuit against Akers, Alliance seeks damages in excess of $1.5 million. It is not clear whether RBC will seek to join this lawsuit or sue Akers separately. Presently, no class or shareholder derivative claims have been filed against Akers.

The jury trial is scheduled to commence the two-week period beginning August 15, 2005. According to Alliance’s President, Julian Brown: “It is shocking to me that a company would unilaterally cancel shares of stock that its top executives represented to be fully negotiable, especially where Akers has operated at a loss ever since its existence and relies so heavily on its stock to borrow and raise funds for its operations. We hope to convince the Court not only to compensate Alliance for its actual monetary losses caused by Akers but also to assess punitive damages against Akers given the blatant and reckless disregard shown by its officers. Sadly, this misconduct sends a chilling message to stock traders and purchasers alike, and I expect the London Stock Exchange’s regulatory body to take some action against Akers. For the viability of the exchange, this cannot and should not be allowed to happen again.”

The case number for this lawsuit is 04-60453-CIV-COHN.

Cardiac defibrillators are used to shock the heart into normal rhythm after patients suffer irregular heartbeat or fibrillation, which are rapid, life-threatening arrhythmias, originating in the lower chambers of the heart. The defibrillators are implanted surgically in the patient's chest. Defibrillators emit an electrical jolt to restore rhythm to a chaotically beating heart. When a cardiac arrhythmia occurs, the capacitor is charged and the device delivers the appropriate shock.

Approximately 38,000 defibrillators have been implanted in patients in the United States. The defective Guidant models are: Prizm 2 DR, the Contak Renewal and Contak Renewal 2, the Ventak Prizm AVT, Vitality AVT, Renewal 3 AVT and Renewal 4 AVT ICDs. Guidant Corp. failed to inform doctors or patients for three years that some of their defibrillators had a defect that caused the affected devices to short-circuit.

Within a week of their initial recall announcement, Guidant issued a second safety advisory about its implantable defibrillators. Guidant told doctors to stop using five of the models because they could malfunction due to a defective switch. The latest warning applies to Guidant's Contak Renewal 3 and 4 models, Renewal RF model and the Renewal 3 and 4 AVT devices, which were included in the June 17 safety advisory.

Guidant did not tell doctors for over three years about the electrical flaw in one model, the Ventak Prizm 2 DR Model 1861, that it has recalled. It also kept selling older versions of it after developing a version not prone to short-circuiting. As noted in a recent New York Times report, Guidant's failure to disclose this problem to physicians has caused some patients to feel a sense of betrayal. Earlier disclosure might have spared these patients the tough choice they now face: to have risky surgery to replace the units or take the chance that their unit will not fail at a critical moment when defibrillation is needed.

Guidant's recall follows on the heels of Medtronic's recall of two of its defibrillators because they have been linked to at least four deaths and one injury. Medtronic said that some of these defibrillators have failed to charge properly which can result in the late delivery or nondelivery of cardiac shock therapy. The charging problem involves the Medtronic Micro Jewel II Model 7223Cx and the Medtronic GEM DR Model 7271 implanted cardioverter-defibrillators.

Medtronic said that most of these devices were implanted in 1997 and 1998. About 1,800 are thought to be still in use. Medtronic said that with the suspect defibrillators, the capacitors may take longer than normal to charge near the end of the battery service life and could cause a delay in delivery or nondelivery of shock therapy. A delay or nondelivery of shock therapy can be life threatening.

The surgery to replace a defibrillator, which is the size of a pager and is implanted under the skin of the upper chest near the shoulder, takes an hour, and many people go home immediately afterwards. Full recovery takes about 7 to 10 days. Like any surgical procedure, the surgery carries a risk of infection. Infection occurs in 1 percent or less of operations, several physicians said. But patients with certain conditions, such as a weakened immune system, or who take certain drugs, such as blood thinners, may face a higher than average risk of infection, serious bleeding or other problems. Defibrillators normally have to be replaced every five to six years due to battery life; the decision as to whether to replace the defective units sooner depends on the patient's age, physical condition, and the nature and severity of the cardiac problem that led to the unit being implanted in the first place.
